Terms of Use

Welcome to TACCI Technology Ltd. (“TACCI,” “we,” “us,” or “our”), a company registered in the Federal Republic of Nigeria. These Terms of Use (“Terms”) govern your access to and use of our mobile application (“App”), designed to facilitate secured transportation, budgeting and payments for 9-5 workers in Africa, including any content, features, or services offered through the App. By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.


1. Acceptance of Terms


By using the App, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.


2. Changes to Terms


We may update these Terms at any time. Changes will be effective upon posting to the App or notifying you via email or in-app notification. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.


3. Use of the App


3.1 Permitted Use 

The App is intended for personal use to manage your security, transportation budgeting and payments. You may use the App to:  

- Create and manage an account.  

- Set up virtual bank accounts and track wallet balances.  

- Process payments to drivers for transportation services.  

- Monitor budget calendars and transaction history.  

- Access location-based services with your consent.


3.2 Prohibited Conduct 

You agree not to:  

- Use the App for any unlawful purpose or in violation of these Terms.  

- Attempt to gain unauthorized access to the App, its servers, or other users’ accounts.  

- Share, sell, or transfer your account or login credentials.  

- Use the App to transmit harmful content, such as malware or fraudulent data.  

- Interfere with the App’s functionality, including through hacking, scraping, or overloading servers.  

- Misrepresent your identity or provide false information during registration or transactions.  

- Use the App for commercial purposes unrelated to its intended functionality without our consent.


4. User Accounts


To use the App, you must create an account and provide accurate information, including your full name, phone number, and email address. You agree to:  

- Maintain the confidentiality of your login credentials and notify us immediately of any unauthorized access at support@tacci.africa.  

- Be responsible for all activities under your account.  

- Update your profile to ensure information remains accurate.  


We may suspend or terminate your account for violations of these Terms, suspected fraud, or inactivity, at our discretion.


5. Transactions and Payments


**5.1 Virtual Wallet and Payments**  

The App generates virtual bank accounts and facilitates payments to drivers for transportation services. You agree to:  

- Provide accurate payment information for transactions.  

- Authorize us to process payments via third-party payment processors.  

- Acknowledge that transaction fees may apply, as disclosed during payment.  


5.2 No Refunds

All payments made through the App are final and non-refundable, except as required by applicable law or our policies.  


5.3 Driver Payments  

Payments to drivers are facilitated based on transaction details (e.g., QR code or driver information). We are not liable for disputes between you and drivers regarding services rendered.


6. Intellectual Property


All content in the App, including text, graphics, logos, software, and designs (“Content”), is owned by TACCI or our licensors and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App and its Content for personal, non-commercial purposes, subject to these Terms. You may not:  

- Copy, modify, distribute, or create derivative works from the Content.  

- Reverse-engineer or decompile the App’s software.  

- Use our trademarks or logos without prior written consent.


7. User Responsibilities


You are responsible for:  

- Maintaining the security of your account and reporting unauthorized access promptly.  

- Ensuring your device is secure and compatible with the App.  

- Providing accurate transaction details to avoid errors in payments or budgeting.  

- Complying with all applicable laws, including those related to transportation services and payments.


8. Location-Based Services


The App may collect location data with your consent to facilitate transactions (e.g., connecting you with drivers). You can disable location services in your device settings, but this may limit certain features. Location data is handled per our Privacy Policy.


9. Privacy


Your use of the App is subject to our Privacy Policy, available in the App, which describes how we collect, use, and protect your personal information (e.g., name, financial details, transaction history). By using the App, you consent to those practices.


10. Third-Party Services


The App integrates with third-party services, such as payment processors and analytics providers. We are not responsible for:  

- The availability, accuracy, or security of third-party services.  .  

- Third-party policies, which you should review independently.


11. Disclaimer of Warranties


The App and its Content are provided “as is” without warranties of any kind, express or implied, including warranties of accuracy, reliability, or fitness for a particular purpose. We do not guarantee that:  

- The App will be uninterrupted, error-free, or secure.  

- Transactions will be processed without delays or disputes.  

- The App will meet your expectations or needs.


12. Limitation of Liability


To the fullest extent permitted by Nigerian law, TACCI, its affiliates, officers, directors, employees, or agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including loss of data, funds, or profits, even if advised of such damages. Our total liability for any claim will not exceed the amount you paid us, if any, for using the App in the prior six months.


13. Indemnification


You agree to indemnify and hold harmless TACCI, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the App, violation of these Terms, or infringement of third-party rights (e.g., disputes with drivers).


14. Termination


We may suspend or terminate your access to the App at any time, with or without notice, for reasons including:  

- Violation of these Terms.  

- Suspected fraud or illegal activity.  

- Technical or security issues.  


Upon termination, your account and right to use the App will cease. Provisions like intellectual property, limitation of liability, and indemnification will survive termination.


15. Governing Law and Dispute Resolution


These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of the App will be resolved through negotiation or, if necessary, in the courts of Abuja, Nigeria. You agree to submit to the jurisdiction of those courts.


16. Miscellaneous


Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and TACCI regarding the App.  

Severability : If any provision of these Terms is invalid, the remaining provisions remain in effect.  

No Waiver : Our failure to enforce any provision does not waive it.  

Assignment : You may not assign these Terms without our consent. We may assign them freely.  

Force Majeure : We are not liable for delays or failures due to events beyond our control (e.g., network outages, government actions).
